1. Agreement to These Terms
These Terms of Service / Terms of Use (“Terms”) govern your access to and use of RiseUp Payments, including our website, checkout flow, merchant dashboard, onboarding support, payment integration tools, transaction status syncing, workflow-related features, and related services.
By accessing, subscribing to, or using RiseUp Payments, you agree to these Terms. If you use RiseUp Payments on behalf of a company, organization, client, or other business entity, you confirm that you are authorized to accept these Terms for that entity.
2. Definitions
- “RiseUp Payments,” “we,” “us,” or “our” means the software integration and merchant dashboard service operated by RiseUp Digital PH / RiseUp Payments.
- “Merchant,” “you,” or “user” means the business, organization, agency, professional, or individual using the Services.
- “Services” means our payment integration layer, merchant dashboard, checkout support, GoHighLevel connection, transaction tracking, onboarding, support, and related tools.
- “Payment Processor” means an approved third-party provider such as Xendit that processes payments, manages payment channels, handles settlement, and applies its own approval, risk, and compliance requirements.
- “Customer” means a person who makes or attempts to make a payment to a Merchant through a supported payment flow.
- “Content” means business information, customer details, transaction data, files, text, configuration details, or other information submitted to or generated through the Services.
3. Our Role
RiseUp Payments provides software, integration, dashboard, onboarding, and support services for eligible businesses. We help Merchants connect supported payment methods to GoHighLevel-powered checkout and workflow processes.
Important: RiseUp Payments is not a bank, lender, wallet provider, money remittance service, payment processor, or custodian of customer funds. Payment processing is handled by approved third-party Payment Processors such as Xendit. Payment method availability, approval, settlement, reversals, disputes, and processing fees may depend on the Payment Processor, business verification, risk review, regulatory requirements, and channel availability.
4. Account Registration and Merchant Eligibility
To use certain Services, you may need to provide accurate business, contact, billing, and integration information. You agree to keep this information current and complete.
You are responsible for ensuring that your business is legally allowed to sell the products or services offered through your checkout, funnels, forms, invoices, or payment links.
We may refuse, suspend, or limit access if information is inaccurate, incomplete, high risk, prohibited by our policies, or inconsistent with Payment Processor, GoHighLevel, or applicable compliance requirements.
5. Merchant Responsibilities
You are responsible for your business operations and for how you use the Services.
- Maintain the confidentiality of account credentials, API keys, dashboard access, and connected platform credentials.
- Use the Services only for lawful business purposes.
- Provide accurate pricing, product, service, refund, contact, and fulfillment information to your Customers.
- Comply with applicable Philippine laws, consumer protection rules, privacy requirements, tax obligations, payment provider requirements, and industry standards.
- Monitor transactions, payment statuses, failed payments, disputes, refunds, chargebacks, settlement information, and customer communications.
- Notify us promptly of unauthorized access, suspected fraud, security incidents, incorrect account configuration, or payment-related issues.
6. Acceptable Use
You must not use the Services for unlawful, deceptive, abusive, harmful, or high-risk activities.
Prohibited activities include fraud, phishing, malware, spam, unauthorized scraping, selling illegal or restricted goods or services, evading platform or processor fees, misrepresenting your business, infringing third-party rights, interfering with the Services, or attempting to bypass security controls.
We may suspend or terminate access if we believe your use creates legal, security, compliance, chargeback, processor, infrastructure, or reputational risk.
7. Payments, Fees, and Third-Party Charges
RiseUp Payments plan fees cover access to the software integration, merchant dashboard, onboarding resources, support, and ongoing platform updates based on your selected plan.
Payment processing fees charged by Payment Processors are separate from RiseUp Payments subscription, setup, or service fees. Processor fees may vary by payment method, country, currency, risk review, account type, and channel availability.
You are responsible for paying applicable RiseUp Payments fees, Payment Processor fees, taxes, chargeback fees, reversal fees, and other charges connected to your business activity unless otherwise stated in a written agreement.
8. Premium Platform Features
If you subscribe to the optional RiseUp Business Platform, which is powered by GoHighLevel and supported by third-party technology partners, certain premium services may incur separate usage-based charges.
Examples may include SMS messaging, voice calls, email delivery, phone numbers, AI-powered services, premium workflow actions, external integrations, and other third-party services.
Applicable rates are determined by the underlying service providers and platform partners and may change from time to time. Current rates, usage information, rebilling rules, and available account controls may be shown inside the platform dashboard or communicated through onboarding materials.
Clarification: These premium usage-based charges apply only when applicable services are used. They are separate from payment processor fees and separate from the basic RiseUp Payments plan unless expressly included in writing.
9. Third-Party Services
RiseUp Payments integrates with third-party platforms, service providers, and technology partners that may be required for certain features and functionality.
These third-party services may include payment processors, banking networks, communication providers, hosting providers, software platforms, automation services, analytics tools, and other business tools.
Your use of third-party services may be subject to separate agreements, policies, fees, restrictions, approval requirements, and technical requirements imposed by those providers.
RiseUp Payments is not responsible for the availability, performance, pricing, policies, approval decisions, risk reviews, settlement schedules, or actions of third-party providers.
If a third-party provider suspends, restricts, modifies, or terminates access to its services, certain RiseUp Payments features may become unavailable, delayed, or limited.
10. Payment Processing Disclaimer
RiseUp Payments provides software, integration, dashboard, reporting, onboarding, support, and workflow-related services.
RiseUp Payments does not provide banking services, lending services, money transmission services, remittance services, stored-value wallet services, payment processing services, or custodial financial services.
Payment processing is performed by approved third-party payment providers such as Xendit and other supported payment partners.
RiseUp Payments does not hold customer funds, receive customer funds on behalf of Merchants, store customer funds, act as a Payment Processor, act as a financial institution, or act as a custodian of funds.
Merchants remain responsible for maintaining valid Payment Processor accounts and complying with all applicable provider requirements.
Payment method availability may vary based on merchant eligibility, provider approval, risk assessment, business verification, regulatory requirements, payment channel availability, and account configuration.
11. Merchant Compliance and Verification
Merchants are responsible for ensuring that their business activities comply with applicable laws, regulations, Payment Processor requirements, platform rules, and industry standards.
RiseUp Payments may require information reasonably necessary to support onboarding, account management, fraud prevention, compliance reviews, technical troubleshooting, integration support, or risk-related inquiries.
Merchants acknowledge that Payment Processors may independently require identity verification, business verification, know-your-customer (KYC) documentation, anti-money laundering (AML) reviews, risk checks, or other compliance procedures.
Failure to satisfy Payment Processor requirements may result in restricted functionality, delayed onboarding, suspended payment capabilities, failed transactions, withheld settlement by the processor, or termination of related services.
RiseUp Payments reserves the right to suspend or terminate access where there is evidence of fraud, abuse, unlawful activity, excessive risk, non-payment, security concern, or violation of these Terms.
12. Service Availability and Integrations
RiseUp Payments strives to maintain reliable platform availability but does not guarantee uninterrupted or error-free operation.
Certain platform features depend on external systems and services, including GoHighLevel, Payment Processors, banking networks, payment channels, internet service providers, cloud infrastructure providers, communication providers, and third-party integrations.
Service interruptions, maintenance windows, outages, API changes, connectivity issues, provider restrictions, account review, or external system failures may affect platform functionality.
Automation workflows, payment status synchronization, notifications, checkout behavior, reporting, and related features may be delayed or unavailable due to circumstances beyond the reasonable control of RiseUp Payments.
RiseUp Payments shall not be liable for losses resulting from outages, interruptions, delays, or failures caused by third-party services, external systems, provider restrictions, or events beyond our reasonable control.
13. Refunds, Cancellations, Chargebacks, and Merchant Responsibility
Merchant subscription fees, setup fees, onboarding fees, technical support fees, integration fees, platform access fees, and other RiseUp Payments service-related fees are governed by the plan terms shown at signup, invoice, agreement, checkout, or any separate written agreement. Unless a separate written agreement states otherwise, payments made to RiseUp Payments are non-refundable once access, setup, onboarding, integration work, technical support, or services have been provided.
Monthly service plans may be cancelled prospectively, meaning cancellation stops future billing but does not automatically refund past billing periods, setup work, onboarding work, integration work, support work, or services already used or delivered.
RiseUp Payments is not responsible for refunding merchants for fees already paid to RiseUp Payments except where expressly required by a separate written agreement or applicable law.
RiseUp Payments is also not responsible for refunding end customers, clients, patients, buyers, subscribers, or users of any merchant. Merchants are solely responsible for their own products, services, appointments, programs, deposits, reservations, invoices, subscriptions, delivery, fulfillment, customer support, refund rules, cancellation rules, and dispute handling.
Any refund request, cancellation request, chargeback, payment dispute, reversal, or customer claim related to a merchant’s own products or services must be handled directly between the merchant, the merchant’s customer, and the applicable payment processor or payment channel. RiseUp Payments may provide transaction records or technical support where available, but RiseUp Payments does not approve, deny, process, guarantee, advance, reimburse, or fund refunds on behalf of merchants or merchant customers.
Merchants remain responsible for any chargebacks, dispute fees, reversal fees, processor fees, payment channel fees, third-party usage charges, premium feature usage charges, or other related costs associated with their own transactions, customers, products, or services.
RiseUp Payments provides software, payment integration, merchant dashboard access, onboarding, and technical support services only. RiseUp Payments is not a party to the sale, service agreement, fulfillment obligation, refund obligation, or customer dispute between a merchant and the merchant’s customer.
14. Data, Privacy, and Security
We process account, business, customer, transaction, support, and technical information to provide and improve the Services. Our Privacy Policy explains how we collect, use, share, retain, and protect personal information.
You are responsible for obtaining any required customer consent and for using customer data in compliance with applicable privacy and data protection laws.
We use reasonable administrative, technical, and organizational safeguards designed to protect the Services. No online system is completely risk-free, and you are responsible for securing your devices, passwords, admin users, connected platforms, and API credentials.
15. Intellectual Property
RiseUp Payments, including our names, logos, website, software, dashboard interface, documentation, designs, workflows, and related materials, is protected by intellectual property and other laws.
Except as expressly allowed by us in writing, you may not copy, modify, reverse engineer, resell, sublicense, reproduce, or create derivative works from the Services.
16. Suspension and Termination
We may suspend or terminate access immediately if you breach these Terms, fail to pay fees, misuse the Services, create risk for Customers or other users, violate third-party platform rules, or use the Services in a prohibited or unlawful way.
You may stop using the Services or cancel according to your plan terms. Certain obligations survive termination, including unpaid fees, confidentiality, intellectual property restrictions, limitations of liability, dispute obligations, indemnity, and any provisions that by nature should continue.
17. Disclaimers
The Services are provided on an “as available” and “as is” basis to the maximum extent allowed by law. We do not guarantee that the Services will meet every business requirement, produce specific revenue, prevent all failed payments, prevent chargebacks, or remain compatible with every third-party platform or payment channel forever.
You remain responsible for reviewing your transactions, testing your checkout flow, confirming payment status, maintaining your business operations, and keeping backup processes for payment or customer support issues.
18. Limitation of Liability
To the maximum extent permitted by applicable law, RiseUp Payments will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, business opportunity, data, goodwill, expected savings, failed automation, delayed payment status sync, third-party outage, or payment channel unavailability.
Our total liability for claims relating to the Services will be limited to the amount you paid to RiseUp Payments for the affected Services during the three months before the event giving rise to the claim, unless a different limit is required by law.
19. Indemnity
You agree to defend, indemnify, and hold RiseUp Payments harmless from claims, losses, liabilities, damages, costs, and expenses arising from your business, your products or services, your Content, your customer relationships, your misuse of the Services, your violation of these Terms, your violation of law or third-party rights, or your failure to satisfy Payment Processor requirements.
20. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict of law rules.
Before filing a formal claim, both parties agree to first try to resolve disputes in good faith through written notice and reasonable discussion. If unresolved, disputes may be brought before competent courts in the Philippines, unless applicable law requires another venue.
21. Changes to These Terms
We may update these Terms from time to time to reflect operational, legal, regulatory, security, payment processor, third-party service, or business changes. The updated version will be posted on this page with a revised “Last updated” date.
Your continued use of the Services after changes take effect means you accept the updated Terms.
